The Role
Xchanging is looking to hire an experienced City-trained lawyer with a broad range of corporate and commercial experience to join their commercial legal team as Head of Legal for Xchanging's Insurance and F&A Business Processing Services (BPS) business, based at Xchanging's London headquarters. This is an exciting opportunity for a senior and ambitious lawyer to take on a role offering a great deal of variety with the potential to grow the role as the Insurance and F&A BPS business looks to implement its ambitious growth strategy in the UK and overseas.
Reporting to the Group General Counsel with a secondary reporting line to the Finance Director of the Insurance and F&A BPS business, this is a senior position taking responsibility for managing globally all legal matters within the Insurance BPS businesses. The chosen candidate will need strong resource management skills to manage other UK legal resources and co-ordinate with the regional heads of legal as well as other internal and external stakeholders in order to ensure effective support. The legal team is a flexible resource and so the candidate will be expected to assist in other parts of the business as well as with Xchanging group corporate projects as needs dictate.
Key Accountabilities
* Drafting, negotiating and advising on all contracts, including outsourcing agreements with customers, contracts for the supply of goods and services to Xchanging, software as a service and software license and maintenance agreements.
* Providing support to the sales and bid teams in contract negotiation and drafting, as well as to the implementation and support teams on post-award contract management.
* Keep internal stakeholders up to date with recent legal developments and regulations, particularly those impacting the insurance industry and service providers to it.
* Mitigate, manage and advise on contentious issues as they arise.
* Contribute to Xchanging business by supporting and managing transactions with business focused, strategic, commercial and proactive legal advice.
* Assist in the development and implementation of Xchanging's legal and corporate infrastructure, including policies, procedures and legal precedents together with guidance notes for the same.
* Provide advice on legal issues as they arise, including on TUPE and data protection.
* Proactively identify opportunities to reduce legal risk or to improve revenue/margin.
* Assist with any corporate/M&A activities as the need arises.
* Contribute to raising the internal profile of the legal function to ensure that it is, and is seen as, a value-add, business enhancing department.
* Assisting with company secretarial matters and advising on corporate governance issues, particularly in connection with Xchanging's joint ventures with Lloyd's and the International Underwriting Association.
* Build relationships with business stakeholders in both the UK and overseas to ensure that legal oversight is maintained.
* Seat on the Insurance and F&A BPS senior management team for the right individual.
Skills, Experience & Qualifications
A strong, confident and autonomous individual who is used to managing transactions from start to finish and to providing sound advice and guidance to sales teams and senior management.

Experience:
* Training from a City-based law firm
* Ten + years' PQE (although candidates with less PQE who are considered to have the right blend of experience will be considered).
* Outstanding academics, including a 2:1 degree or higher
* Experience of working in a fast-paced in-house environment
* Experience in general commercial legal work (experience in outsourcing transactions would be particularly useful)
* Experience of the Insurance industry and the London Market (desirable)
* Company secretarial experience and M&A experience helpful.
