Legal & Compliance Counsel

A forward thinking and innovative hedge fund is currently looking to recruit a Legal & Compliance Counsel to join their business team in Geneva.

As sole counsel in Switzerland and reporting directly to the COO your main responsibilities will include (i) monitoring and ensuring the compliance of the group with all its regulatory requirements, (ii) reviewing legal agreements to be entered into by the group, (iii) undertaking company secretarial responsibilities for the group including drafting the group's corporate resolutions and (iv) providing general legal support to the group as required.

The role includes:

(i) Following the regulatory requirements applicable to the group in the jurisdictions where it is present (mainly the US, the UK, Switzerland and the Cayman Islands), prepare and complete the reports and filings required by local regulation and link with the regulators where necessary.

(ii) Reviewing all legal agreements to be entered into by the group, amending them accordingly and interacting with the group's counterparties where necessary, interacting with external advisors when applicable.

(iii) Preparing or reviewing the company secretarial documents related to the group entities such as boards/shareholders resolutions, boards/shareholders meetings or meetings minutes.

You will ideally be a English or Common Law qualified lawyer with at least 5 years' post qualified experience gained in the areas of funds, investments, corporate or financial services law. You will also be a commercially minded and results focussed individual.
