Global Brand and UK Corporate Legal Counsel

£75k, car allowance, 20% bonus, pension plus other benefits

The Role

My client, an international Telecommunication company is looking for a lawyer with significant experience in Corporate/Commercial Law and experience in intellectual property law, to join their legal department in London. 

The department is responsible for all aspects of the acquisition, maintenance, protection and licensing of their brand assets, a wholly owned subsidiary, dedicated brand ownership and licensing vehicle for the company brand, the most valuable asset of the Group Company.

The Department also provides corporate and company secretarial support for a number of the Group’s key UK subsidiaries.

The Legal Counsel role will be a mix of the following:

1. Providing legal advice and support, in conjunction with the UK General Counsel, and the Legal Counsel/Acting Company Secretary on corporate and commercial matters concerning the Group’s UK subsidiaries, including:

• providing general legal advice and support in relation to corporate acquisitions and disposals, commercial agreements, intra-group arrangements and outsourcing, and preparing any necessary agreements;
• assisting with preparation of documentation for Board and general/shareholder meetings;
• maintaining corporate records and complying with intra-group reporting obligations for the companies UK entities.

2. Providing intellectual property legal support to central business units and brand licensees; supporting the extension of the company’s brand to new territories and new business areas; including:

• negotiations with third parties in relation to brand licence agreements and other IP related commercial agreements;
• managing (in conjunction with local lawyers/trade mark attorneys) brand related disputes, infringements and trade mark oppositions worldwide;
• carrying out legal searches and clearances for the use and registration of proposed new trade marks for specific products and/or services. 

The Legal Counsel role will be based in London but may require some international travel.

Must Haves

• Strong inter-personal and communication skills (oral and written)
• Fluent English speaker

Flexibility

• Ability to respond to business issues with sensible commercial solutions, often under critical time pressure.
• Ability to work independently

Nice to haves

• French language skills (oral and written)
• Experience in telecommunications sector
• Previous in-house experience
