Our client is a top-tier international law firm and is the preferred legal adviser to local and international corporates, investment banks, funds and financial sponsors and government. The firm’s work includes acquisitions, divestments, private equity, joint ventures, restructure and capital raisings.

The Role
The role will see you work for a client base including mid-cap entities and blue chips and involves mainstream corporate transactions such as takeovers, business and asset acquisitions and disposals, equity capital markets, restructuring and recapitalisation transactions, joint venture arrangements, ASX listing rule work and corporate governance. The work will involve (amongst other things):
- advising clients on the Australian regulatory requirements and applying those requirements to provide clients with cogent, commercial and strategic structuring advice
- drafting and reviewing legal documents and agreements, including (by way of example) merger implementation agreements, pre-bid agreements, sale and purchase agreements, subscription agreements and underwriting agreements as well as disclosure documents such as bidder’s and target’s statements, scheme booklets and prospectuses
- leading negotiations with counterparties and liaising with corporate and accounting advisers in the course of large and often complex corporate transactions undertaken in the context of tight timeframes
The Successful Applicant
You will have 5 to 8 years’ post qualifications experience in regulated M&A gained within a top-tier firm or by a combination of top-tier and in-house together with strong academics. Foreign qualified lawyers will be considered and sponsorship is available for the right candidate, although Australian experience is preferred.
