The corporate paralegal will handle all legal corporate matters including change of officers, registered office address, maintenance of statutory books of all European entities. A leading global real estate firm it seeking a corporate paralegal to join their corporate team based in their London office. The corporate paralegal will handle all legal corporate matters including change of officers, registered office address, maintenance of statutory books of all European entities. Within this role, effective communication is required
Key duties of the Paralegal include:
- Handling all legal corporate matters including change of officers, registered office address, maintenance of statutory books of all European entities
- Maintaining database and spreadsheets containing corporate information for all European entities
- Over-seeing equity injections and equity distributions that occur each quarter or more frequently as required by the property management team and corporate team. Reviewing the distribution steps from a legal perspective and drafting the relevant documents (intra-company loan agreements, board minutes, etc)
- Supervising the annual approval of financial statements process for all European entities, reviewing representation letters and ensuring financial statements are prepared in time, liaise with advisors to draft legal approval documents of the financial statements are put in place and filed
- Managing liquidation process of European entities from beginning until completion
- Setting up of entire structures across various jurisdictions
- Satisfying KYC requirements
- Managing the execution process of numerous acquisition documents
- Dealing with post-closing matters and arranging acquisition bible
- Ensuring all relevant approvals, board minutes, authorisations are in place
- Managing the execution process of numerous documents.
Essential skills of the Paralegal:
- Educated to degree level or equivalent
- LPC qualification
- At least 2 years' previous Corporate Paralegal experience
- Strong people skills and ability to project credible and professional image to the client and to the paralegal team
- Strong written and spoken communication skills with all levels of staff
- Project management and prioritisation skills
- Pro-active approach to identification of work to be done
- Experience of managing competing demands, and working well under pressure
- Good IT skills
