General Counsel

Our client a rapidly growing successful financial institution is looking to hire their first General Counsel. The role will be responsible for leading the in-house legal function for the Group; working closely with senior management on all legal and risk issues including; taking a lead role in the review, oversight and, when required, negotiation or amendment of Fund Advisory/Management agreements, supporting the structuring or restructuring of investment funds from a legal perspective; as well as supporting the structuring of new funds; assisting the team in developing commercial agreements and forms for transaction work and where required support transaction due diligence.

The role will also be involved with assisting the firm in its portfolio management responsibilities such as reviewing contract terms, preparing legal letters and assistance in enforcing or interpreting legal rights and responsibilities for the portfolio companies; supporting the firm in maintaining high standards of Corporate Governance through its Board, Investment Committee and Valuation Committee procedure and record keeping, as well as overseeing statutory Company Secretarial obligations, supported by the firm's accountants.

The General Counsel will be the key interface with external law firms managing these relationships and as a senior member of a small team of executives you will be expected to participate in all aspects of the business which may include from time to time: presenting to Partners or Board meetings; supporting financing, compliance and investment activities of the business.

You will ideally be admitted in the UK with international experience in multiple jurisdictions and be able to demonstrate a sound judgement in identifying and managing emerging legal and business issues. In person, you will be a confident, articulate and a commercially pragmatic operator.
