In-House Commercial Lawyer | Contracts

Your Challenge

Are you currently working as an In-House Commercial Lawyer and have a minimum of 4 years PQE and experience gained in the technology sector/Software-as-a-Service (SaaS) environment?

Do you have a solid understanding of contract and commercial law, along with exceptionally strong drafting, negotiation and communication skills?

Has your background given you exposure to an executive management team, colleagues worldwide and internal stakeholders?

Your Role

You’ll report directly to the Chief Financial Officer.  Your role will have a broad remit, being responsible for advising on a wide range of legal issues across HighQ, including multi-national agreements with key global clients/prospects, partners and vendors, providing support and commercially focussed legal advice to senior management and commercial teams both regionally and globally. 

You’ll possess the ability to manage complex commercial agreements, including preparing, drafting and negotiating key agreements.

You’ll be expected to take immediate legal responsibility of commercial affairs and ensure risk is mitigated through key responsibilities which include: -

  • Preparing, reviewing, drafting and negotiating a range of agreements such as software license agreements, non-disclosure agreements, implementation services and maintenance agreements, strategic partnership agreements and an array of vendor agreements.
  • Partaking in major business projects.
  • Recommending on a course of action and supporting commercial/procurement functions with critical contract negotiations.
  • Providing legal advice on data protection, intellectual property rights, confidentiality, compliance, indemnities and warranties, limitation on liability, insurance considerations and on an ad-hoc basis employment matters.
  • Providing legal training to the UK team on legal matters aligned to the needs of the business.
  • Providing direct support to the CFO on corporate and constitutional matters including; amendments to constitutional documents, board minutes, written shareholder resolutions, alongside other external advisors.
  • Become the line manager of the current Legal & Corporate Analyst. 

Your Essential skills / qualifications

You’ll need to demonstrate your experience liaising with clients, prospects, partners, external advisors and vendors and as such should be articulate, confident and polished.

Essentially you’ll have the ability to proactively manage multiple matters with commercial pragmatism and provide the highest quality advice.

The individual will be organised, and able to demonstrate a consistently high level of legal analysis, and attention to detail.

  • Experience handling commercial and legal matters in a fast-paced high growth environment.
  • Excellent drafting and negotiation ability, with strong attention to detail and a commercial stance.
  • High level of planning and organisational skills, with ability to manage multiple tasks simultaneously to meet tight deadlines.
  • Ability to communicate complex concepts in a simple and easy to understand manner.
  • Provide pragmatic and commercial legal solutions to complex problems.
  • Eagerness and ability to facilitate timely decisions to support the business’ fast growth.
  • Experience in the technology sector/ Software-as-a-Service environment is preferential.
  • Some experience with corporate and constitutional law is preferable but not a requirement.
  • 4 -6 years PQE with the right to practice in England & Wales.
