Deputy Company Secretary
Central London
£85,000
An excellent opportunity has arisen with a Pensions & Savings provider in Central London. They are a public body who specialise in delivering workplace pension schemes. They aim to offer a high-quality and straightforward way to save for retirement.
They are currently seeking an experienced and capable Company Secretary to join them on a 6 month interim basis. Candidates are required to be fully ICSA qualified - preferably at Fellowship Level.
The Company Secretary will join the General Counsel Directorate responsible for providing Legal Counsel, Technical Support & Compliance Assurance. You will work collaboratively with the Department to develop and maintain an effective Governance structure for the business.
The successful Candidate will be responsible for the following:
- Developing and implementing the Governance arrangements including Terms of Reference for all Committees; Schedule of Reserved Powers and Delegations and all related documents
- Ensuring the business keeps up to date with Corporate Governance standards and Best Practice.
- Provide Secretariat Service to the Trustee Members and ensuring Registers of Interest / Conflicts of Interest are maintained.
- Monitor compliance with Corporate Governance Codes and Framework Agreements
- Setting objectives for the Secretariat Team, assisting in their development and providing technical support and day to day support and direction
- Ensure high quality responses are provided to requests for information under the Freedom of Information Act within statutory deadlines and that the processes, procedures and publication scheme are in line with best practice
- Provide advice on corporate governance issues
- Ensure risks are identified and effectively managed
- Ensure policies are reviewed and updated in line with best practice and that training is provided as required.
Experience and Skills:
- ICSA qualified ideally to Fellowship Level
- Previous experience in a Company Secretary role supporting a complex and high profile organisation (ideally within Financial Services / Pensions / Trusts)
- Previous experience managing the delivery of a Secretariat Service to a significant corporate meeting schedule (up to 100 potential meetings per year)
- Successful people management and leadership particularly in developing new teams
- Highly motivated, astute and confident attitude to problem solving
