Provide legal and commercial advice and assistance to support the Group across a broad range of sectors and services:

* In relation to the structure of international transactions and preparation of the various agreements required for the transaction.
* managing a substantial caseload of the more complex contract and commercial work including the provision of legal advice;
* In relating to reviewing and negotiating contracts - analysing clauses, obligations and liabilities;
* Setting up SPV vehicles within different jurisdictions;
* Supporting maintenance of general terms and conditions applicable to company's commercial activity;
* Researching and provision of legal information;
* In relation to the promotion and development of best practice processes in line with company goals and reporting requirements;
* Understanding Group's international portfolio of services and skills;
* Researching market conditions and developments;
* Devising M&A strategies and the implementation thereof, identifying sectors and groupings of companies that might be viable business targets for clients;
* Conducting investigations into the financial and commercial state of companies subject to a particular transaction;
* Working together with Tax Advisor on tax efficiency of structures;
* Working with corporate finance colleagues to provide advice on capital structure;
* Project management of transactions, overseeing the negotiation of terms and developing proposals to raise funds;
* Constructing new issue and takeover timetables;
* Ensuring all the regulatory aspects of a transaction have been considered and implemented wherever necessary.

Experience:

* A minimum of 5+ years' experience post qualification. (5+ years PQE);
* First class legal experience obtained working for an investment bank or law firm;
* International deal exposure, and experience of managing transactions across different countries;
* Extensive drafting experience across a range of corporate, commercial and ECM documents;
* International deal exposure, and experience of managing transactions across different jurisdictions;
* Extensive drafting experience across a range of corporate and commercial transactions.
* Ability to engage clients in a way that instils confidence and fosters strong client relationships;
* A savvy operator with strong commercial and business acumen;
* A motivated self-starter with the ability to work autonomously with little direction;
* Confident working within complex multi-functional, multi-jurisdictions environments;
* Highly organised with flexible, resilient and credible personality with the ability to prioritise workload and deliver against tight deadlines;
* Excellent attention to detail and an analytical mind;
