An opportunity has now arisen for a commercial solicitor to join the business as Head of Legal / General Counsel and Company Secretary. This is a strategically involved role which requires the successful candidate to be a key leader within the organisation; whilst also remaining hands-on and actively involved in the provision of the Group's legal and company secretarial matters.
Primarily reporting to the Chief Executive, you will provide timely, pragmatic and commercially sound advice and support to the Board and Executive Directors, as well as the Managing Directors of the Group's trading companies. You will safeguard best practice and will ensure that there is two-way communication between the executive and non-executive members of the Board.
Key accountabilities of the role include:
Legal: reviewing bids and tenders related to the UK and International business divisions; negotiation and drafting support on contracts and renewals; advice on contract and related issues, such as insurance, IP, data protection and competition law; advising on M&A, bids and tenders and corporate projects; support and guidance on sponsorship, sales promotions, prize draws and other marketing related matters; providing initial support and guidance on resolving disputes; liaising with and maintaining the relationship with he Group's external legal advisers; and development of appropriate legal policies and associated training, roll-out and ongoing auditing and monitoring.
Company Secretarial: supporting the Board in the execution of their duties, including advising on Board matters, corporate governance, LSE requirements, best practice, regulatory and stakeholders enquiries; advising the Chairmen of the sub-committees; organising, preparing agendas for, and taking minutes of Board, Audit, Remuneration and Nominations Committee meetings; drafting the Business Review, Director's Report and corporate governance sections of the annual report; maintenance of statutory records and filings; share dealing and listing matters; and Code of Conduct compliance.
Insurance: responsible for the Group's insurance portfolio through the Group's insurance brokers.
The ideal candidate will have a strong commercial legal, corporate law and company secretarial background, and ideally possess existing experience of a UK listed PLC environment. You should enjoy operating in a fast-paced and evolving working environment, be willing to undertake a genuinely hands-on approach to legal work, and be very commercially minded.
The successful candidate must be technically, strategically and administratively strong, and be a key leader within the organisation. Pivotal to the role will be strong influencing capability, effective communication and co-ordination skills, an ability and willingness to challenge and support the organisation, and a down to earth approach.
