Our client a multinational construction business in London is seeking a Company Secretary Administrator to cover at maternity cover for 7 months.

You will contribute to the delivery of company secretariat activities, prepare documentation and perform administration and logistical activities and contribute to company secretariat policies, processes and operations.

Key accountabilities:

Board Meeting Requirements and Drafting
*Coordinate Directors and CoSec and assist with the distribution of draft board minutes
*Liaise with relevant EAs/Pas to arrange board meetings and arrange for board minutes and resolutions to be approved and signed internally
*Drafting adhoc board minutes and resolutions when requested to include POAs, bank mandates, loan agreements, share allotments and corporate restructures
*Work with the Company Secretary Assistant in relation to our CEMEA business

Filings and documentation
*Manage Statutory Filings and ensure prompt filing
*File relevant documents with Companies House through our GEMs system
*Review GEMs records to check accuracy of information on system

Maintain Integrity of Company and Director Data
*Obtain private information from new directors
*Ensure director's mailing list is kept updated
*Coordinate documentation relating to director changes to include filing with Companies House and updating GEMs

Administrative Activities
*Manage incoming post and email and forward accordingly
*Chase upcoming / overdue accounts with Finance Managers
*Payment of invoices for Data Protection Renewals
*Monitor Secretariat inbox, respond to requests and queries where appropriate and forward requests and queries to relevant parties when necessary

Compliance
*To assist in the Know Your Business Partner (KYBP) process
*To chase outstanding training from staff within the European Region
*To manage Compliance Mapping process

The successful candidate will be a self-starter with good attention to detail and will have worked in a company secretarial field previously.
