A leading multinational FMCG company is searching for a newly qualified lawyer to join their team. This company is a leading global brand with products sold worldwide.
Ideally, the newly qualified lawyer will come from a background as a corporate trainee in private practice, preferably from a City firm or US firm. US qualified lawyers are also of interest. This role will begin on a temporary basis with a high likelihood to become permanent.
Job Responsibilities are a mix of Corporate and Company Secretary duties:
- Attend and take minutes at quarterly board meetings
- To provide company secretarial services such as board meeting minutes, director appointments and resignations, share allotments, company dissolutions, maintaining PSC registers and routine Companies House filings
- To maintain the group structure charts
- To maintain a current list of directorships and ensure directors are adequately trained
- To ensure best practice in corporate governance
- Liaising with board members
- Strategize with company executives prior to client negotiations
- Structure client transactions to be most advantageous from a business perspective
- Advise, and consult company professionals based on accurate interpretation of contract documents and the facts of a business opportunity
- Participate in developing internal guidelines, toolkits, and packaged knowledge capital on various legal and business issues
- Educate company professionals in regard to risk management issues
- Represent the company’s interests and interface directly with client negotiating teams
Skills and Experience:
- Trained in either a City firm or US law firm, and have some experience working on international transactions with multinational clients, especially US deals
- Experience carrying out company secretary duties and corporate support for deals including due diligence and Companies House filings
- Understanding or experience of dealings with SEC filings
- Spanish language fluency is an asset
