Sole Counsel and Company Secretary

IMO Car Wash Group is the largest car wash company in the world with approximately 890 sites in 15 countries, washing over 35 million vehicles per year. IMO is a private equity owned enterprise which is undertaking an exciting expansion programme building and acquiring car wash businesses in its existing markets and new markets around the world. We operate conveyor car wash sites which offer a high quality, fast wash with attended service, all at great value.

We are seeking to fill the new role of General Counsel and Company Secretary. The successful candidate will join our Management Team and provide a legal and company secretarial service to the business globally.

Reporting in to the CEO you will provide expert legal advice and service across all 15 countries of operation, ensuring legal compliance, limiting risk exposure and contributing to the development of the business through leading the legal processes in a broad range of matters. This will include:

• Negotiate, draft and structure a broad range of agreements, for example, on acquisitions, joint ventures, divestments and property deals.

• Have global ownership and regular oversight of employee regulations to ensure compliance and reduce risk.
• Reduce risk of issues with European operators by driving the business to apply the right behaviours and processes and managing litigations and claims
• Lead the legal processes on finance raises, Group transactions, regulatory and tax matters and a broad range of other legal matters including general corporate, commercial transactions, sales, marketing and operations.
• Ensure compliance with Bond documents, company reporting, filing and documentation requirements.

Ideally you will be a UK qualified solicitor with a minimum of 6 years PQE across both private practice and in house. You must possess in house experience and be able to demonstrate an in-depth understanding of how legal issues affect businesses, ideally from the perspective of a multi-national. This role would suit a private practice trained corporate or commercial lawyer that has made the move in house to a broad commercial position and is now looking to take on the challenge of a senior appointment. Experience on employment matters would be highly desirable, particularly across Europe, and any exposure to company secretarial work would also be advantageous.
