A leading financial services company in the City is seeking an interim banking lawyer as soon as possible to cover a fee-earners' maternity leave for 9-12 months on a fixed term contract basis.
You would typically act on all elements of a financing from term sheet stage, through to closing and post-closing. Your specific areas of responsibility will be to draft and review term sheets, draft and negotiate facility agreements and intercreditor agreements, draft and negotiate security documents and supervise overseas counsel to draft and negotiate local law security documents.
Typical responsibilities include:
- Drafting of legal documents and agreements;
- Reviewing acquisition and equity documents;
- Contributing to department know-how;
- Advising clients and preparing formal legal opinions;
- Negotiating with counterparts;
- Matter completion and post-closing work (including security perfection);
Essential skills and experience:
- Qualified lawyer, likely to be 3+ PQE with post-qualification experience at a major law firm or in house financial institution
- Strong general banking experience
- Experience of leveraged and acquisition finance transactions (lender and/or borrower representation)
- Treasury or Cash management (cash pool and sweeping) experience is highly desirable but not mandatory
- Experience of drafting, reviewing and negotiating legal documents and agreements in a private practice environment
- An adaptable person who is a fast learner, with experience practising in multiple jurisdictions.
- A team-player who can work effectively with colleagues at all levels
- Client facing experience and the ability to understand and respond effectively to client needs
- Experience of negotiating with counterparts.
