My client is a FTSE 250 business and now seek to recruit an experienced Assistant Company Secretary to join their established Company Secretarial team on a 12 month fixed term contract but with the potential to be extended.
Based in the Bournemouth the role will be responsible for supporting Boards and Committees, compliance with corporate legislation, corporate governance and stock exchange regulations.
Reporting in to the Deputy Company Secretary you will be responsible for providing a high level of secretarial support to boards, board committees and management committees and helping to enhance the corporate governance structure within the organisation.
Additional duties will include managing the company secretariat department's Risk Management Framework as well as providing the Company Secretariat function's input into projects including major corporate transactions.
A Qualified Company Secretary, Solicitor or equivalent you will be able to demonstrate substantial experience of providing full company secretarial support to Board or Committees ideally gained within a regulated environment. You will need to display knowledge of corporate legislation, listing rules and the UK Corporate Governance Code combined with the ability to produce minutes in a timely and accurate manner. You will also have the ability to effectively manage internal and external key relationships specifically with Senior Management and Board/Committee members. Ability to identify risks associated with Company Secretariat activities and to implement and report upon appropriate assessment/control procedures. Accustomed to operating in a highly regulated environment.
You will be able to demonstrate significant personal credibility combined with the ability to inspire colleagues. You will also be a skilled communicator and capable of interacting at all levels including executive management and non-executive directors.
