Legal Counsel based in London, will work as part of a wider team based in US, London and Tokyo for a global corporation which drives the innovation lifecycle around the world, enabling the discovery, development, and delivery of the world’s greatest innovations.

Duties and responsibilities:

  • Review, draft, revise and negotiate a wide range of agreements with customers, vendors, partners, content providers, agents, distributors, resellers and other third parties, including data licenses, software and intellectual property licenses, and other complex commercial agreements.
  • Review and manage RFPs for government customers, identify legal issues and coordinate preparation of the proposal (including licensing agreement) among different functional departments within the company
  • Research and respond to general legal inquiries from in-house clients that relate to partnerships, content, corporate, litigation, intellectual property and compliance matters.
  • Lead initiatives designed to streamline contract forms and processes.  Work collaboratively with business counterparts to identify opportunities for efficiencies and help implement changes.
  • Help manage and enhance the Legal Department’s IT resources (collaboration space, form libraries, contract automation initiatives, etc.).
  • Advise on general legal matters as appropriate.
  • Participate in compliance initiatives through provision of training, communications and other such measures.
  • Participate in management teams, helping to issue spot and set the legal agenda.
  • Provide general assistance with non-UK/US jurisdictional matters and co-ordinate with external counsel.   Occasional travel on an as needed basis.
  • Identify training and developmental needs for yourself on an on-going basis.

Knowledge, Skills, and Abilities Required:

  • Legal qualification –Track record of commercial negotiation and drafting (preferably with a licensor of intellectual property rights or a provider of technology products/services to customers). In-house experience a plus.
  • Experience in relation to licensing of intellectual property rights and/or government procurement processes very helpful
  • Strong negotiation and drafting skills
  • Attention to detail is critical; professionalism and customer-centricity are a must.
  • Ability to work independently, exercise good judgment, and change direction or priorities on short notice.
  • Ability to work under pressure and tight deadlines.
  • Exposure to cross-border transactions desired.
  • Proficient in Microsoft Office applications, including Word.
  • Foreign language skills a plus.
