Transactional Risk

Our client a well known insurance company is currently looking to hire a lawyer to join their growing transactional risk team. They are looking at Lawyers from a wide variety of transactional backgrounds including corporate, private equity and capital markets lawyers who would like to work as part of the business in a commercial focussed role whilst still using their legal backgrounds.

The principal work carried out by the team is representation and warranty insurance, otherwise known as warranty and indemnity insurance (W & I insurance). W & I policies cover liabilities that may arise under the warranties given in M&A transactions, often share purchase agreements. Typical uses of such policies are cover where the sellers are individuals (eg where a family group are selling out their business, perhaps on the retirement of the principals) or where the seller is a private equity business that will only give limited title warranties, leaving management to warrant the state of the business. In those circumstances, the financial strength of the warrantors may be in question and the deal can be facilitated by having the warranties underwritten by an insurer.

The rationale for hiring corporate/private equity/equity and capital markets lawyers into this area is that they work on transactions and deals every day so they are best placed to advise on the risks associated with the deals and structure a commercial insurance product to guard against those risks. No insurance background is necessary; in fact the broader the person's transactional background the better. It is the broad based transactional work that is important for this role as the role will involve reviewing transactions and also relationship-building with clients.
