THE COMPANY
A leading software provider with significant international expansion plans over the next few years both organic and through acquisition.
The Group Legal Counsel serves as an active member of the Group's Senior Leadership team and has primary responsibility for handling all legal issues associated with the global expansion, distribution, sales and marketing of the Group's software and service offerings.
THE ROLE

Key Responsibilities include:
Negotiate, draft and advise on group commercial agreements (i.e. customer contracts, partnership/joint venture agreements, reseller agreements, NDAs, supplier contracts)
Liaise with external counsel in non-UK geographies where the business operates (currently Australia, Sweden, USA, France, Germany, Spain, Denmark) to prepare all relevant commercial agreements
Manage legal aspects of the Group's expansion strategy by working with external counsel on all M&A activity including drafting and negotiating transaction documents and conducting legal DD, as appropriate
Analyse legal risks associated with new software and/or service offerings and assist the Product Management teams with mitigating those risks
Advise the Group in all geographies it operates on the growing and ongoing importance of data protection and privacy legislation and best practice
Assist the Group in managing all customer, partner, supplier or third party contractual claims/disputes in a commercial and cost effective manner
Develop and update standard terms and conditions for software and/or service offerings to take account of changes in underlying technologies, delivery methodologies, and legislation/case law
Responsible for the Group's intellectual property (IP) portfolio including managing all trademark registrations and advising on all areas of intellectual property law relating to software, cloud computing and databases rights
Assist the Contracts Manager to operate the Sales Delegation of Authority with the Sales teams when preparing customer contracts, and provide training on policies and procedures to sales staff
ABOUT YOU
A lawyer who is ideally England & Wales qualified and has an excellent working knowledge of English common law.
Preferably, prior in-house background and 3-6pqe.
IT/software background with SaaS experience ideal. (industry flexible).
Excellent knowledge of Intellectual Property, Procurement and Data Protection Law.
Transactional experience including M&A in the technology sector would be an advantage
An understanding of employment law is preferred but not essential.
A commercial and practical approach is a key requirement
Previous experience of successfully working closely with a sales team would be an advantage
