I am currently working with a major client in Liverpool, which requires a six-month locum Commercial Solicitor.
Advising on a range of legal documentation, the right candidate will be able to provide real value to this organisation, while expanding their own skillset. Whilst this is a locum position, working for such a well-known company will boost any CV’s prospects.
About the role
To succeed within this Liverpool-based solicitor role, you will need at least three years’ experience of negotiating and drafting commercial contracts. Please be aware, a background in grant-funding and loan agreements, as well as other finance and banking documentation, is essential for this legal position.
You will also have/be:
- To be at least a qualified, practising lawyer (Barrister/Solicitor/ILEX)
- The knowledge and experience to be able to interpret public-procurement legislation (desirable)
- Able to accurately draft legal documents
- Ideally, an understanding of engineering and construction contracts
- Strong organisational skills
- Experience of ICT contracts would help
- Great interpersonal and presentation skills
- Able to communicate clearly to elected members, third-party solicitors, contractors, and staff at all levels
- Solid computer/ICT skills
- Able to manage your own workload with minimal supervision
- The knowledge and ability to interpret and apply all relevant legislation
- An analytical approach
- Able to work to set deadlines with top-notch time-management skills
- Able to support the wider team
You will also need to display a willingness to learn and develop your skills further, especially into new areas, and the enthusiasm and drive to deliver top results for the company.
Main responsibilities
The right locum commercial solicitor in Liverpool will be drafting, negotiating, and advising on a range of legal documentation for my client, which will include complex documents. You will also be assisting the wider team to deliver an effective commercial legal service to this prestigious organisation. Your day-to-day role will also involve putting together grant and funding agreements, which will require:
- Commercial contract drafting skills
- Experience of banking and finance documentation
- A solid grasp of warranties and indemnities use
- Familiarity with the concept of Events of Default and its consequences
- The ability to judge which differing clauses are requirement for projects in a range of sectors, including employment, transport, property, and regeneration
- Proper judgement to determine insurance requirements and drafting accordingly
- Familiarity with variation/change control
- An understanding of conditions precedent and subsequent
- The ability to exercise a materiality judgement
- The knowhow to issue shorter form letter-type agreements, rather than funding deeds
- A familiarity with parent-company guarantees and their drafting
- The ability to draft and negotiate both secured and unsecured loan agreements
- Experience of private equity and corporate transactions for projects that are equity funded, with usual knowledge of minority-interest protection
- An understanding of preference share and redeemable share structures, ratchet mechanisms, put-and-call options, exit provisions for institutional funders, and drafting Articles of Association
- The ability to deal with joint ventures, LLPs, Limited Partnerships, and multi-party collaboration arrangements
The successful commercial solicitor on Merseyside will also be:
- Reviewing meeting agenda papers to see what is being approved and will require a grant agreement
- Locating background papers and third-party appraisal documents to read and understand what is required by clients/the company
- Identifying risks and determining how they can be minimised via contractual controls
- Considering whether security would be required for projects
- Determining requirements for contractual project outcome targets, as well as the consequences for failing to meet them
- A range of other commercial matters, as required, which I can discuss with you
