Description

As an In House Corporate/ Company Solicitor and a key member of the Strategic Transactions Team in Group Legal and Compliance (GLC) you will partner closely with technology, group procurement and other key stakeholders to provide legal and advice and support in technology, digital and licensing transactions. There may also be the opportunity for some corporate work. We do not expect the candidates to be experienced in all of the below.

Essential components are: 1) confidence in providing legal support on transactions including deal execution and familiarity with contract and commercial structures for technology and digital deals; 2) strong knowledge and expertise in the underlying law eg in IP, data and issues around current themes across the market like agile methodologies, the Internet of Things, Cyber Security and Cloud; and 3) ability to be a trusted legal advisor to programme teams, key business colleagues, executives such as the Chief Information Officer, the Company Secretary and the Procurement Director, together with the Technology Leadership Team.

To ensure the provision of robust, clear and commercially focused legal advice specifically in the specialist area of technology law, with some corporate support work, ensuring alignment with business needs and GLC objectives and effectively identifying, assessing and managing risk.

To liaise with other GLC teams to provide specialist advice as necessary.

To develop, maintain and ensure effective relationships with key stakeholders in technology, procurement, other central functions and the business.

  • To identify legal risks, threats and opportunities and to work with the relevant business units and functions to manage the risks and threats and to support opportunities and new strategies;
  • To support the senior lawyers in the Strategic Transactions Team
  • To be a trusted legal adviser and to provide and be accountable for the provision of robust legal advice to RMG, ensuring advice is provided at the appropriate time and in accordance with the relevant business policies and standards in the following key activities of the business:

Technology Procurement

- procurement of any technology hardware, software or digital services

- advising as necessary on structures, legal issues, Internet of Things, Cloud and other emerging issues

- delivering transactions to close (including execution and negotiation)

Critical technology programmes

- general advice and support as required

- advise on changes in law and these challenging the market eg cyber security

- drive through and deliver transactions and programmes of work as needed

Acquisitions

  • Legal support and advice as needed
  • Integration support
  • DD support

Supporting the team in all reporting and MI requirements to key stakeholders, the Assistant General Counsel- Strategic Transactions, General Counsel and as required. Taking a proactive role in identifying valuable ways to utilise MI to drive business change and reduce risk.

To outsource legal work as appropriate, robustly managing quality and cost.

To proactively focus on product development including standard contracts and , bite size guides of developing areas of law, establishing structured and timetabled reviews of precedents and assisting with development of internal know-how through appropriate resources.

Profile

                    • Minimum of 1-3 plus years post qualification experience either within a business with scale and complexity, or in Private Practise working with FTSE's or Companies listed on other equivalent stock market
                    • Experience in advising on deal structures for high value complex outsourcing, technology and digital deals used to procure and deploy technology services from digital, outsourcing, development, managed services and software licensing confident in deal execution
                    • Corporate deal experience of acquisitions
                    • High-energy; positive and resilient attitude, enjoying the challenge of a diverse and heavy workload moving at pace
