Responsibilities include:
- Contribute to the design and coordination of Board and Committee effectiveness reviews.
- Review papers and work with, advise and train paper authors to advise on content and structure, to ensure the quality of board reporting meets standards set by the department.
- Set agendas in conjunction with the Head of Secretariat, Chairman, CEO and CRO (as relevant to the business).
- Attend and minute Board meetings, providing company secretarial advice in the room where appropriate.
- Managing actions/implementing and communicating decisions of the Board.
- Supporting the Head of Secretariat in ensuring the readiness of the Company Secretarial function and the group as a whole for potential listing.
- Assist the Head of Secretariat in inducting new Directors and senior staff on corporate governance
- Ensure Boards and underlying businesses are compliant with the company law and corporate governance requirements of their respective jurisdictions, working in partnership with key individuals within the business, such as CRO and CEO.
- (When applicable), be responsible for Drafting the Directors' Report, and other relevant sections of annual reports and reviewing the annual reports across the business to ensure they meet statutory requirements.
- Assist with the implementation of corporate strategies not only by ensuring that the Boards' and Committees' decisions and instructions are properly carried out and communicated but by acting pro-actively as a key consultant on new projects and transactions.
- Mentor and support junior members of the team in conjunction with agreed professional development plans.
The successful candidate will be ICSA qualified or working towards this and have strong experience of working at Board level.
