Detailed Job Description
Role:
Reporting into the Group Financial Controller, the Company Secretary will act as the company secretary for the University of Oxford's subsidiaries both in the UK and abroad and as well as act as the University's Trust Administrator controlling the set-up, governance and reporting of 700 trust funds valued at approx. £910m.
The subsidiary companies play an important role in the University's administration and finance; and contribute significantly to the University's ability to participate in trading, joint ventures and other collaborations. The Company Secretary will administer the relationship with local country secretaries, notaries and lawyers for regulatory services provided to the University's foreign subsidiary companies.
Responsibilities:
Typical responsibilities will include:
- Act as Company Secretary to all the University's UK subsidiary companies;
- Draft agendas for meetings, take minutes and provide follow-up actions;
- Maintain the Company registers, produce legal documents (e.g. resolutions) and liaise with relevant regulatory authorities;
- File relevant UK company documentation at Companies House, and administer appropriate filings for foreign subsidiaries through local country service providers;
- Provide advice on best practice for financial statements and Trustees Reports and items to be included in the Financial Reports;
- Coordination of Reports to General Purposes Committee on the operational and financial performance of the subsidiary companies;
- Manage the incorporation of new subsidiary companies; and
- Act as Trust Administrator:
- Act as Secretary to the Trusts Management Board (TMB), which oversees the governance of the University's trust funds
- Develop relevant procedural and policy documents relation to the University's trusts management;
- Ensure the TMB complies with charity and trusts law
- Prepare regulator reports to the University Council
- Provide administrative support for the TMB's meetings.
- Manage the day-to-day operations of the Trust team including formation of new trust funds, investment of donations, consolidation of existing trust funds and monitoring of trust fund expenditure.
Candidate's Profile
Person Specification:
CSA qualified (ideally)
- Excellent stakeholder engagement skills
- Working background in managing Board and Committee meetings
- Company Law, Charities Law (ideally gained from within Not for Profit and Charities) regulations relevant to trusts
- Consultative approach to influencing
