The Paralegal will assist the legal department on a wide range of legal, corporate compliance, and business matters involving the group of companies. The ideal candidate is someone with a Paralegal or Contracts Administrator background who is looking to expand into other areas. The candidate will work closely with the members of the in-house legal team, outside counsel, and multiple client groups/functional departments at all levels of the company. The incumbent must have experience partnering effectively with sales, products, and other key stakeholders to obtain necessary information, conduct legal analysis, and help ensure that all interests of the affected business units are appropriately represented in the applicable legal contracts.

  • Manage total contract lifecycle including RFP, drafting, editing, negotiation, execution, and ongoing management of all new and existing agreements to ensure business needs are met while minimising risk to the group companies in the Americas with primary focus on the US and Canadian agreements. This includes, but is not limited to, service agreements, non-disclosure agreements, independent contract agreements, statements of work, inbound and outbound data and software licensing agreements, letters of intent, termination notices, amendments and proof of concept agreements, etc.

  • Ensure that signed contracts are coordinated and communicated to all relevant parties, including Sales team, to provide contract visibility and awareness, interpretation and any applicable support for implementation

  • Research and resolve on-going contract issues.

  • Work on other contract, procurement and/or vendor related activities as needed. Serve as the point of contact on all contractual matters. Act as the liaison between internal departments and external vendors ensuring timely review and approval / reconciliation of contracts.

  • Input of all contractual documentation into the internal contract database automation tools.

  • Assist lawyers with the quality and timeliness of legal advice to internal business clients and senior management on a broad range of legal, compliance, business and management matters.

Profile

  • Minimum of 2 years as a paralegal with contract administration experience and demonstrated skills in vendor management and/or contract negotiation is required; experience in software licenses a plus.

  • Must have knowledge of different commercial agreements, terms and legal requirements.

  • Strong planning, prioritising and organising skills, including the ability to effectively manage multiple issues.

  • Drafts and/or edits legal commercial agreements such as NDA's, master services agreements, and software licensing agreements.

  • Ability to analyse and interpret complex documents simultaneously, and recognise legal, compliance, and litigation exposures and prioritise appropriately.

  • Organises, correlates and edits drafts of documents and contracts

  • Provide detailed client/contract information as requested by lawyers.

  • Proofreads documents for changes to be made before the final copy is produced.

  • Strong administrative, analytical, problem-solving and organisational skills as well as excellent oral and written communication skills.

  • Solid judgement and business acumen and understanding of business operations and corporate governance issues.

  • Willing to independently assist in the processing of the company's higher volume, more routine contracts, such as non-disclosure/confidentiality agreements.
