Assistant Company Secretary, Birmingham

Our client is a leading financial services business and well-respected employer. They have a busy legal and company secretarial department and now seek an Assistant Company Secretary to work with (and deputise for) the Company Secretary on a broad range of company secretarial matters. This is a new position which will enable the recruit to shape and direct the role and implement their own ideas.

The position will involve the following:

  • Prepare agendas for Board, Board Sub-Committee, Subsidiary Company and Group Executive Meetings
  • Attend Board Sub-Committee and other meetings as required and prepare minutes and action lists
  • Monitor compliance with appropriate company law, prepare advice for the Board and committees as required
  • Provide appropriate, accurate and thorough governance advice
  • Ensure the departmental risk management process is followed
  • Draft reports and presentations as required
  • Provide general administrative support
  • Maintain up-to-date records at FCA, PRA, Companies House, Office of Fair Trading and Jersey Financial Services Commission
  • Complete the necessary paperwork and Companies House filings
  • Manage the preparation of the Society’s Annual General Meeting

The ideal candidate will possess the following:

  • ICSA Chartered Secretaries qualification or an appropriate Accountancy or Legal qualification (or be studying towards one of these)
  • Experience in the financial services sector and understanding of regulations
  • Experience of writing minutes for Committee meetings
  • Excellent organisation skills
  • Excellent stakeholder management skills as you’ll be working with Executive and Non-Executive Directors as well as internal customers and external visitors
  • High degree of confidentiality and integrity
  • Accuracy and attention to detail
  • Effective communication and interpersonal skills
