Sole Counsel - FinTech

This role, working closely with Group CEO and Group CFO will be responsible for providing first line in-house legal advice and support as the business goes through an acquisition process.

Description

• Work closely with the Company Secretary to maintain an efficient and up-to-date contract filing system.

• Provide legal support to the Company Secretary (with a particular focus on corporate governance).

• Communicate and negotiate with external parties (e.g. suppliers, business partners, external counsel, regulators etc.).

• Provide legal support to the internal compliance team and assist with monitoring regulatory compliance.

• Provide legal support for an active finance team.

Activities to include:

• Mergers and acquisitions. Manage and action the legal aspects of a corporate change of control (including, but not limited to, obtaining consent to change of control from landlords, suppliers, business partners and customers).
• Contracts. Review, draft and finalise a broad range of commercial contracts (with suppliers, agents, and customers).
• Commercial leases. Review, revise and provide advice on commercial leases across several jurisdictions. Draft, review and revise legal instruments relating to commercial leases.

Ad hoc change activities

• Give accurate and timely advice to executives in a variety of legal topics.
• Any other ad hoc activities which may be required from time to time.
