In-house Counsel & Assistant Company Secretary

Our Manchester based client is a commercial business with genuine philanthropic principles and a commitment to the charity sector. To support the business and the good work undertaken by the company, a new opportunity has been created for a Company Commercial Solicitor to join the team as In-house Counsel & Assistant Company Secretary.

This is a rare opportunity for a Company Commercial Solicitor to work for a Manchester business that lives and breathes philanthropic principles. Social betterment and support for charitable causes is a significant part of the company's business activity and this is only expected to grow.

To support the company with its commercial and charitable interests, our client requires a Company Commercial Solicitor to join the business as In-house Counsel & Assistant Company Secretary. The post-holder will assume ownership of the charity legal services function and duties will include commercial contracts, company secretarial tasks and corporate governance work.

Specific responsibilities of the role include: charitable grant agreements and grant giving documentation; general commercial contracts; management and instruction of external legal counsel; corporate governance and company secretarial duties; and risk and compliance management.

It is expected that applicants will have circa 1-3 years' PQE of company commercial law however this is only a guide. Company Secretarial experience is not a prerequisite however it is preferred. For those without existing CoSec experience, you must be willing and able to learn, and to assume responsibility and ownership quickly - training can be provided. Existing in-house experience is not essential however demonstrable commercial contracts experience working with charitable organisations and/or working on charity law is a distinct advantage.
