Banking Lawyer (Director evel) - Job Description
KEY PURPOSE OF THE JOB
To provide commercially focused and pragmatic legal support to the Structuring, Sales and Trading teams within the Products and Markets business.
RESPONSIBILITIES
Derivatives Sales and Trading Desks
• Principal contact for legal issues relating to OTC derivative products
• Review of hedging arrangements on complex structured transactions such as securitization and project finance
• Review of bespoke structured derivative trade termsheets and confirmations
• Interpretation of terms and conditions of OTC trades and provision of advice in relation to corporate actions and other adjustment events
• Attendance of new products committee / transaction approval committees and advising on legal and documentation risk management
Derivatives Structuring Desk
• Provision of legal structuring advice to structuring teams for new products
• Preparation and review of termsheets and swap confirmations relating to third party issuer securities Final Terms (e.g. EMTNs and Warrants)
Working alongside other experienced lawyers in the team to provide efficient and effective legal services to front office.
General legal assistance to trading floor based transaction management teams.
Co-ordination with other relevant internal groups throughout the firm including transaction management, compliance, credit risk, market risk, regulatory capital, tax, finance and operations in relation to derivative and embedded derivative transactions
EXPERIENCE & SKILLS
Minimum of 3 years experience of derivatives focused transactions, ideally in private practice or in an investment bank legal department.
Intimate understanding of ISDA Definitions governing FX and Currency Option transactions, Interest Rate derivatives, Equity derivatives and to a lesser extent Repo and Stocklending documetation.
A good understanding of ISDA Master Agreement level documentation (although the negotiation of these will be done by the Documentation team)
A familiarity with LMA standard documentation, security and intercreditor arrangements would be an advantage, as would basic capital markets experience.
Knowledge of market practice and procedures in above-mentioned derivative transactions.
Ability to deal with time pressures, shifting deadlines and priorities.
Ability to analyse documentation provisions quickly and provide clear concise advice both in written and verbal form.
