Our client is a mutual insurer domiciled in Luxembourg with a worldwide spread of interests in the maritime sector with an annual premium income of more than $250m. They need to replace a retiring key senior manager of long standing who is their advisor, administrator and representative not only internally but in other fora, which include regulators and competitors.
Based in Luxembourg and managing a team of 5, you will hold a seat on the board of the mutual’s management company, many of whose operations are carried out in London, reporting to the Managing and Finance Directors of that company. You will also represent the board of the Luxembourg mutual and its individual directors in legal and related matters. The role encompasses that of Company Secretary of both companies but goes wider than that, with duties including:
• Ensuring compliance with all legal and regulatory requirements in Luxembourg, Hong Kong, the USA, and all relevant EU states
• Liaising with the auditors and more generally with the Luxembourg and Hong Kong regulators
• Preparing agenda for board meetings, attending and accurately taking minutes
• Attending and contributing to other committees
• Overseeing regulatory compliance of a Luxembourg Reinsurance Company, a Bermuda Reinsurance company and a Jersey claims handling company
From Luxembourg you will travel twice monthly to work in London and to elsewhere in the world, including Bermuda and Hong Kong, as required.
Ideally ou should be an English or French qualified solicitor or barrister (but those with other qualifications are not ruled out)who is fluent or bilingual in those two languages looking for a long-term career move. A solid understanding of contract law, company commercial and/or corporate law is a must along with, at least, a rudimentary knowledge of the insurance market. Intellectual ability and an organized approach are essential as are commercial and financial awareness. You must be able to identify problems, establish priorities and offer practical solutions.
A personable and effective communicator, you must be able to network within the organization and more widely and be able to build strong relationships with regulators, members and competitors.
