Our Client is a high profile West End practice with a strong Media / Entertainment reputation. They seek a City trained Corporate lawyer ideally with 1-3 years pqe to assist 2 corporate partners. The work is mostly corporate, but there will be general commercial work too. The corporate work is mostly private acquisitions/sales and joint ventures with a media slant. Candidates need to have good experience in drafting and negotiating Share Purchase Agreements and Joint Venture Agreements as a minimum. An interest in the media and the arts will be important. Types of work undertaken by the corporate department include:
Private and public company mergers, acquisitions and disposals
Private equity and venture capital
Management buy-outs / buy-ins
AIM quoted company work
Company, partnerships and LLP formations and structuring
Company re-organisations
Debt finance
Rights issues
Share buy-backs
Joint ventures
Other general corporate advice
Franchise agreements
Distribution and supplier agreements
Licence agreements
Software escrow agreements
Security interest and release agreements
Support and maintenance agreements
General IP / IT advice relating to the above contracts
Other general commercial contracts
