US Corporate Associate - London - Job Description

The role:

We are currently looking for US lawyers with excellent securities and M&A experience to join our
US Corporate Group based in London. The group has 6 Partners and 22 Associates based in Europe, and 2 Partners and 3 Associates based in Hong Kong. Our partners are among the most experienced US corporate and securities lawyers practicing in their respective markets.
Most of the work will have an international dimension and will include some of the largest and most complex transactions. The corporate group has a strong and supportive team spirit and a training, know-how and support infrastructure which is second to none.

As a US Corporate Associate your main responsibilities will involve:

• Handling a large number of private and SEC-registered debt and equity offerings
• Acting on a wide range of restructuring transactions, de-mergers and spin-offs
• Advising non-US clients on the US securities aspects of public M&A transactions
• Advising non-US clients on preparation of SEC filings and on a wide range of issues relating to ongoing compliance with US securities law
• Acting for US and European companies and investment banks on equity and high yield debt transactions
• Public and Private M&A transactions


As a US Corporate Associate your skills and qualifications will ideally include:

• New York qualified with a top class academic record
• High quality lawyer with strong technical and commercial background
• Experience at a leading practice in London or the US
• Have worked on high profile, complex securities and M&A transactions
• Flexible and prepared to undertake secondments to our European or Asian offices
• Language skills ( Spanish, French, German, Mandarin ) are helpful


What we are looking for in you:

As an experienced lawyer you will have strong technical and commercial abilities, and will be able to work effectively as part of a team and supervise more junior lawyers. You will have excellent communication skills and be able to take on a high degree of responsibility and manage a challenging workload. You must also be proactive and committed to providing an excellent service to our clients.
