FINANCE PROJECTS & TECHNOLOGY GROUP, Banking Associate, Birmingham/London - Job Description

Main Purpose of the Role:

Advising on a broad range of banking and project finance work.

Main Duties and Responsibilities:

Working within the 30 strong Finance Team, comprising 6 partners and 24 lawyers, acting for clients such as Allied Irish Bank, Barclays Bank, HBoS Plc Royal Worcester and Spode, Lloyds TSB Bank Plc, The Royal Bank of Scotland, Fortis Bank, 3i Plc, Castlemore Securities Limited, E.ON Renewables Limited and HSBC.

This role will involve advising on a range of general banking issues, to include:

• Drafting and negotiating loan security and inter creditor documents (bilateral and syndicated)
• Drafting and negotiating property development and investment security and facility documentation
• Understanding and advising on the financial assistance and capital maintenance regime under the Companies Act 1985
• Advising on leveraged acquisition finance acting for bank and borrower
• Advising in corporate lending transactions effected otherwise than through a buy out structure
• Advising on cross-border transactions including managing overseas legal counsel and negotiating legal opinions
• Advising on loans and security agreements in a property finance and project finance, PFI, PPP context
• Advising on OGC standard documentation and on step in, compensation on termination in PFI deals
• Analysing project risk matrix and contractual framework in respect of bankability.

Key Skills and Experience:

The ideal candidate will have:

• Proven experience of advising on a range of banking and / or project finance
• Experience of running high value transactions with minimal partner supervision
• Experience of mentoring and supervising less experienced team members on a range of transactions
• Proven experience of negotiating on behalf of clients
• A clear understanding of the commercial issues involved in finance transactions
• taking a active role in technical debate in your current or previous roles by contributing your knowledge both within and without the firm, for instance by publishing articles and/or by delivering presentations and training;
• Establishing, developing and maintaining client relationships with and obtaining instructions from identified target and existing clients
• An understanding of the importance of accurate and efficient time recording as well as the need for efficient financial matter management.

• acting for Nomura in raising £265 million for the acquisition of Earls Court and Olympia Holdings exhibition and conference centres including structuring the various tranches of syndicated or subordinated debts and perfecting the security package;
• acting for Lloyds Development Capital in the MBO of the Electrium Group involving an investment of £35 million by RBS;
• acting for Pressac plc in its £61 million refinancing with the club of HSBC Bank plc and Bank One NA;
• acting for a major clearing bank in its provision of a working capital facility and collection account bank to the Box Clever group under the existing securitisation for the businesses of Radio Rentals and Telebank;
• acting for Euro Exide Corporation UK Group in connection with the £550 million refinancing of the ultimate US parent’s financing of its exit from US Chapter 11 bankruptcy protection;
• acting for Bank of Scotland in a pan European (UK, Germany, Spain & Austria) £85 million syndicated facility to the Lavendon Group;
• acting for Lloyds TSB Bank on the provision of a multi jurisdictional (UK, USA and Germany) £30 million facility to the Keller Group.
• advising a number of NHS Acute Trusts in relation to the credit risk interface issues with the funder to the private sector party as part of the ongoing government project to procure and develop of Independent Sector Treatment Centres;
• advising Prime on the banking aspects of its preferred bid for the £20 million North Staffordshire NHS LIFT PPP scheme currently under procurement by the North Stoke Primary Care Trust;
• advising East London Waste Authority on the financing aspects of a £750 million waste management PFI outsourcing project;
• advising Nord LB on financing the waste management arm of an existing £85 million Integrated Waste Management Contract between Mercia and Hereford and Worcester;
• advising Stepnell on the debt finance issues arising out of their successful bid for the £16.8 million Whitecross High School PFI scheme procured by Herefordshire County Council;
• advising M J Gleeson on the banking issues arising out of the St Georges Hospital PFI project;
• advising Royal Bank of Scotland on the funding of Cathedral Court and The Mailbox, Birmingham;
• advising Royal Bank of Scotland on a £52.8 million acquisition finance facility to a subsidiary of IM Properties for the acquisition of Woking Shopping Centre for £70 million;
• advising AIB Group (UK) plc in the refinancing of Northern Racing Group providing facilities of £19 million secured on eight racecourses
• advising the Parkridge ED Fund Partnership in relation to 180 million Euro facility for the purchase and development of commercial property in Eastern Europe;
• advising the Meteor Industrial Partnership in relation to a £40million mezzanine facility from Legal & General and a £40 million senior facility from Eurohypo.
