Financial Services Lawyer, Dublin - Job Description
1. Pro-actively manage the Dublin Legal Team
2. Manage the creation and implementation of new Irish funds/restructuring of existing funds providing advice, liaising with Global Business Development and drafting all necessary legal documentation in relation to the establishment of new funds and the restructuring of existing funds (UCITS and non-UCITS) to include :
„« Preparation of constitutive documents ¡V Trust Deed / Memo & Arts
„« Offering documentation
„« Material contracts
3. Draft relevant contracts for the provision of services to include 1) Investment management; 2) Custodial services; 3) Administration services and 4) Securities Lending
4. Work closely with the relevant AIGGIG Dublin business departments (Custody, Investment Operations, Global Securities Lending) to oversee and effectively manage the ongoing legal requirements of each.
5. Liaise with external counsel, regulators and other third parties to ensure timely implementation of initiatives agreed by Dublin Senior Management and Global Business Development.
6. Create and maintain database of legal precedents, corporate documentation and legal procedures using Sharepoint to include 1) signed legal contracts; 2) standard form contracts and 3) standard form fund and corporate documents.
7. Work closely with the Compliance Department on product creation and implementation
8. Implement training and effective communication where required within AIGGIG in relation to new fund products
9. Review all computer and maintenance contracts and software licences and confidentiality agreements with service providers.
10. Lead and oversee the in-house corporate secretarial function by reviewing final documentation completed by Legal Assistant
11. Network within the Dublin market and establish relationships with external parties including IFSRA, The IFIA, The Irish Stock Exchange
12. Ensure compliance with Data Protection Legislation. Interpret pending legislation in this area and advise on implications for AIG financial services companies in Dublin.
13. Monitor all new relevant legislation and where necessary provide advice to senior management and staff.
14. Review and complete custody account opening documentation for foreign jurisdictions eg. Korea, Poland
15. Create and maintain library of legal reference materials, Directives etc
„« Fully qualified lawyer with demonstrable 5-6 years commercial law post qualification experience ¡V ideally in financial services and including detailed knowledge and experience of Irish collective investment schemes
„« Mature professional with a pro-active, confident approach
„« Outstanding technical legal ability with strong commercial approach
„« Outstanding organizational and management skills
„« Highly efficient with excellent project management and time management skills
„« Lateral thinker with ability to ¡§think outside the box¡¨
„« Outstanding interpersonal and communication skills in order to liaise with all levels within the organisation and external parties
