General Counsel: Based in Middle East

Our client is a dynamic, diversified group of companies headquartered in Al Khobar (close to the Bahrain border), Saudi Arabia. It has interests in a range of sectors from trading to manufacturing, investment and real estate and is growing internationally. To help drive and secure its on going success and rapid growth, it is now seeking to recruit an outstanding General Counsel

As part of the top team and reporting to the CEO, your responsibilities will be broad and geared towards providing a full service in-house legal department to the business. In conjunction with your team, you will have day to day responsibility for reviewing, advising, drafting, negotiating and project managing a range of high level commercial contracts, joint ventures, acquisitions and disposals. Given the complexity, volume and size of the some of the contracts, you will also work closely with and manage external counsel.

More specifically, you will:

Provide timely and professionally authoritative legal advice and support to the CEO and other senior executives on all legal aspects of the Company’s operations and business.

Monitor legal information and developments that may be applicable to the operations of the Company or impact its corporate objectives.

Conduct due diligence and propose the selection of outside legal counsel to assist in the furtherance of the Company’s interests and protection of its legal rights.

Conduct due diligence on setting up local companies, corporate structures; prepare/draft agreements/contracts with joint venture partners, banks, etc., with incorporation of adequate risk safeguards and due protection of Company assets and interests .

Review legal documents, transactions and contracts; draft and/or outsource drafting petitions, agreements and/or joint venture agreements to aid the progress of the business of the Company.

Support the MD and Group CEO conducting negotiations with joint venture partners, banks and other parties to progress the business.

Monitor the legal status of Group subsidiaries joint ventures and affiliates to ensure their compliance with statutory legal requirements.

Build and maintain relationship with relevant executives within the group, corporate management, and joint venture partners.

The position requires a strong 15+ corporate/commercial lawyer with substantial contract drafting and negotiation experience. In addition to strong pressure management skills you will have highly honed commercial legal skills and able to put the law into context for a business which is fast moving and growing rapidly. You must also be able to communicate clearly and effectively with a diverse range of individuals. English speakers required.
