Legal Funds Lawyer - London

The PwC Legal Financial Services (FS) Team focuses on Funds and FS Regulatory work. We work with both existing fund managers and new entrants to the investment management industry to design complex investment fund structures to meet the needs of their investors. We work closely with the PwC Tax and Regulatory teams in advising clients in this area.

This role is for an experienced funds lawyer, with significant experience of establishing investment funds, e.g. private equity funds, real estate funds or infrastructure funds either in the UK or an offshore jurisdiction (e.g. Channel Islands). Experience of establishing retail investment funds (e.g. AUTs, OEICs/ UCITS/NURS) would also be useful. Clients tend to be institutions, pension funds, family offices, new entrants.

The role reports into the Partner who leads the Financial Services team.

Requirements

• Able to lead projects to establish investment funds with some partner guidance, delegating to more junior team members as appropriate
• Working knowledge and experience of a number of different types of fund structures available in the UK and other jurisdictions, commercial requirements relating to funds and industry trends
• Understanding of carried interest structures and experience of implementing these
• Experience in drafting investment management/advisory agreements, administration agreements, side letters with fund investors, etc
• Understanding of the regulatory regime associated with establishing, operating and promoting fund structures (FSMA, FSA rules, etc)
• Strong legal drafting skills with significant experience of drafting fund documentation (e.g. limited partnership agreements; offering memorandums)
• Strong organisational skills and project management skills for running complex projects
• Good negotiation skills, and experience of handling negotiations with potential investors in a fund

Responsibilities

• Leading a number of fund establishment projects at any given time, with support from more senior members of the team
• Developing and maintaining strong client relationships
• Delegating and supervising more junior team members
• Assisting with business development and marketing of our services
• Contributing to the FS team know-how database, precedent development and training sessions
