Securities and Structured Finance Professional Development Lawyer - Job Description
The securities and structured finance practice acts for both those raising finance and those providing or arranging finance as well as providing regulatory advice for those participating in the finance markets. The SSF Group is a distinct sub-group within the International Finance Department. The practice of the SSF Group encompasses a broad range of structured finance, derivatives and capital markets products including repackagings, CDOs, credit derivatives and other structured credit products, equity derivatives, securitised derivative products, securitisations, eurobonds and MTN programmes.
Overview
The successful candidate will be the sole PDL in the SSF Group.
Main responsibilities:
•Producing new standard documents and updating existing standard documents.
•Producing guidance notes/checklists for use by fee earners in connection with standard documents.
•Periodically reviewing Ashurst standard documents against other firms’ documents
•Ensuring that fee earners are kept up-to-date with changes in the law and other relevant information.
•Assisting in the maintenance and development of the International Finance Department’s information room including collation of materials from external sources and fee earners and ensuring appropriate material is drawn to fee earners’ attention.
•Producing and updating practice briefing notes for internal use as appropriate.
•Liaising with other professional development lawyers across the firm to ensure appropriate flow of information between departments.
•Training
•Assisting in the maintainance and development of the training programme for SSF Group fee earners.
•Delivering training to fee earners/trainees on appropriate topics.
•Client Briefings
•Identifying appropriate topical issues and producing entries for submission to publications/ client
•Inputting into the design of the firm's knowhow intranet from an SSF perspective and ensuring all the relevant knowhow is promptly profiled and noted on the Intranet. Promoting Intranet usage by fee-earners including assisting fee-earners to locate knowhow on the Intranet or any other similar systems, whether by formal training or on an ad hoc basis.
•In-House Counsel Role
•Assisting in advising junior fee earners on matters of law and practice in the SSF area
•Motivating fee earners to contribute knowhow and to contribute to the drafting of standard documents and training courses.
The Main Clients are:
Calyon, Deutsche Bank, Dresdner, JP Morgan, Lehman Brothers
A significant proportion of the practice area’s work is of an international nature and the firm acts for leading international investment and commercial banks and trustees as well as for substantial corporate issuers.
Candidates must have relevant experience in the area of structured finance/derivatives/capital markets gained at a major City or US firm. The candidate must be keen to work on all aspects of professional support work (drafting of precedents, training and know-how) and their interest and ability should be demonstrable. Personal qualities are equally important – in particular commitment to the role, self-motivation and enthusiasm.
Client contact is extensive – much of the work performed by the PDLs is at the request of “internal” clients. As such, client contact is considerable and a constant part of the role. The PDLs “sit” with the transactional lawyers and in this way, are able to gain an insight into the activities of the Department.
