Solicitor - Company Commercial

JOB SUMMARY
* Broad commercial and corporate advice to an SME client base including company formations, corporate governance and re-structuring, mergers, aquisitions and disposals (shares and assets)
* Commercial contractual advice, preparation and negotiation
* Intellectual Property advice (and support to Litigation Department)
* I.T. contract advice, preparation and negotiation
* Support to Litigation Department in minority protection actions
* Bonus schemes and share incentives
* Joint venture, distribution / agency collaboration agreements
* To work in accordance with Office Manual and Quality Manual

MAIN DUTIES AND RESPONSIBILITIES
* Handling existing caseload and assisting Commercial Partners when necessary
* Developing client base, client profile and caseload
* Liaising with other departments for the purpose of cross selling
* Assisting with and presenting at client seminars
* Maintaining and expanding professional contacts

SKILLS AND EXPERIENCE
* 1-3 years pqe with broad based corporate / commercial background
* Hands on SME support experience preferable
* Presentation and marketing skills
* Negotiation and above average interpersonal skills
* Team working experience

KNOWLEDGE REQUIRED
* Current company legislation
* sound knowledge of contractual law in business to business and consumer context
* Share structures
* Shareholder and joint venture agreements
* Corporate funding and backing documentation
* Broad knowledge of Intellectual Property and IPR licensing
* Experience of distribution / agency agreements preferable
* Directors' duties and responsibilties
* IT literate - Word, Excel, Outlook

* Fee Earner Meetings
* Department Meetings
