Role Summary:

Prepare, review and negotiate legal and internal regulatory documents. Provide legal advice and assist with corporate secretarial duties. Lead on transaction management and negotiation of all EMEA corporate acquisitions (share purchases / asset purchases / real estate leasing and property development transactions). Provide legal risk management in relation to real estate, commercial, supply and construction contracts, intellectual property matters (including TM protection), dispute resolution generally.

Key Responsibilities:

  • To vet contract conditions, ensuring compliance with the Company's guidelines and that any onerous terms and conditions are correctly dealt with, as far as possible.
  • To ensure all liability, IPR and contract and commercial risks are quantified where possible and advised to and understood by the relevant business unit before a contract is entered into.
  • To review commercial aspects of tenders and contracts including letters of credit, insurance requirements and guarantees.
  • To work with the Director of Business Development EMEA and COO/CEO EMEA to ensure accepted contracts run smoothly, take the lead in ensuring contractual disputes are resolved in a speedy and satisfactory manner.
  • To act as initial adviser on all aspects of company, commercial and contract law (including such other aspects of law that may arise in the normal course of running a business), liaising with external advisers where appropriate and co-ordinating any legal activity related to contracts.
  • To ensure relevant staff are kept informed of the impact of any changes in laws and legislation concerning the commercial management of the Company.
  • To provide efficient contract management and administration.
  • To assist in corporate secretarial duties; including drafting board minutes, board resolutions and overseeing the safekeeping of the company books.
  • To introduce necessary safeguards, to ensure compliance with laws/regulations and the Company's interests are protected at all times.
  • To prepare and/or review internal regulatory documentation, where necessary.

Required Qualifications:

  • Legal drafting, reviewing and negotiating commercial contracts
  • Understanding the commercial needs of the business generally (both at an operational level and in relation to new acquisitions and development sites)
  • Understanding of cross-border transactions and issues in other legal jurisdictions
  • Extensive international transactional experience, financing transactions and real estate development transactions
  • Fluent German (spoken and written)
