Areas of Responsibilities

  • Provision of legal structuring, advisory, transaction execution, project and other legal support in respect of a broad range of fixed income and commodity derivatives and structured products, including some or all of the following:
    • Flow commodities, credit, FX, rates and inflation derivatives
    • Structured products (in both funded and unfunded, tranched and untranched investment formats) with various underlyings including: CLOs, senior financings, structured repackagings, notes, warrants, certificates and fund structures, structured funding transactions (including structured repos, stock-loans and TRS), loans (including tax optimisation structures) and deposits, index products and (legacy) collateralized debt obligations (synthetic and cash)
    • Securitisation or facility-linked rating agency compliant swap and option transactions, including balance guaranteed and perfect asset swaps
    • Leveraged and distressed loan trading
    • Islamic derivatives
    • Private-side corporate solutions
    • Transactions relating to resource management including: counterparty credit risk, funding, liquidity coverage, tax and capital
    • Insurance solutions including catastrophe and perils in the form of catastrophe bonds, other insurance-linked securities and life solutions primarily in the form of value-in-force monetisations
    • Structuring and solutions-based work in emerging and developing markets
    • Inventory financing metals, gas, oil, power and emissions products (primarily traded in Continental European markets), both cash and physically settled, including:
      • Trading of metals and related warrants
      • Gas, power and emissions forwards trades under EFET or ISDA master agreements on UK and Continental Hubs and Grids
      • Secondary emissions trading
  • Non-quantitative structuring responsibilities, including reviewing term sheets, assessing potential transactions and developing legal solutions by liaising, where appropriate, with internal and external legal, compliance, risk management, tax and accounting advisers and back and middle office professionals
  • Coordinating execution of transactions by working closely with clients and structurers/traders, liaising with internal and external advisers, rating agencies and other relevant third parties, where applicable. Reviewing term sheets and drafting confirmations and other documentation for structured transactions and reviewing transaction legal documentation prepared by external legal advisers and the bank’s counterparties
  • Post-trade transaction work, including restructurings, terminations, management of lifecycle events (e.g. credit and succession events), and assisting the traders/ structurers and sales force in dealing with client queries
  • Preparing and presenting appropriate contributions on behalf of London legal team to relevant meetings convened in relation to relevant business areas
  • Monitoring ongoing legal, regulatory and market developments in the European region affecting relevant business areas, with assistance from the Regulatory Legal Team, as appropriate, and keeping relevant stakeholders informed thereof
  • Representing the bank in the European region on various local/ regional industry bodies (e.g. ISDA Credit Derivatives Determinations Committee)

  • Where appropriate, assisting, involving and communicating with other internal functions and other teams within the legal department, including on projects and other matters originated by them
  • Managing projects and other issues originated within Legal
  • Assisting with the development of new and existing policies, guides and templates for the relevant business areas globally
  • Participating in, and actively contributing to the work of, the global Legal Practice Groups for commodities, credit, FX/ local markets and rates
  • Helping to develop group team spirit through mutual support, inclusive behaviours and effective communication
  • Observing and embodying the bank’s group values
  • Depending on the seniority of the successful applicant, the role may include provision of ongoing training and mentoring for team members involved in supporting the commodities, credit, FX/ local markets and rates businesses in the region

Essential Skills / Competencies

The bank is seeking a candidate with the following skills/ competences:

  • Qualified lawyer, preferably in a common law jurisdiction, with 2-8 years’ post-qualification experience gained at a leading financial institution or international law firm
  • Primary legal experience in derivatives and/ or structured products
  • Dynamic, delivery driven and detail oriented, with good communication and drafting skills
  • An outgoing and robust personality who is capable of working both autonomously as well as part of a cross disciplinary team
