Hudson are currently working with a private equity real estate firm who are seeking to hire a new General Counsel to lead their legal division.

The responsibilities for the role will include, but not be limited to;

    • Reviewing & negotiating documentation including, fund documentation, investment management/asset management agreements, shareholders' agreements, limited partnership agreements, bank facility agreements, inter-company loan agreements, commercial contracts, engagement letters and non-disclosure agreements
    • Advising on new and existing funds, including structuring, launch and ongoing maintenance
    • Managing fundraisings, including preparing offering memorandums and being the direct contact for potential investors and their legal advisers
    • Interacting and providing support to the fund management teams
    • Assist on holding company level activities (including strategic matters such as acquisitions), corporate governance and regulatory matters
    • Undertaking transactional management and execution
    • Appoint and manage external legal counsel, fund administrators and Company Secretary
    • Regular liaison with off-shore counsel
    • Act as an active member of the Risk and Compliance Committee

The ideal candidate will have/be;

  • Qualified Lawyer with 5 years' PQE
  • Experience in funds, ideally gained at a leading law firm or in-house at an asset or investment management company
  • Expertise in a range of fund structures (both in and outside of the UK) and the operational processes to support them, in particular AIFs and REITs
  • Experience in working on fund launches, prospectus / offering memorandums drafting, investment management and asset management agreement drafting and negotiation
  • Strong corporate background with exposure to commercial contracts, either through a secondment or a previous in-house role
  • Experience in drafting and negotiating limited partnership agreements and shareholders' agreements
