Essential: Previous experience in setting agenda, minuting meetings and maintaining corporate filings (eg Luxembourg RCS). Maintaining local statutory records. The candidate must be proactive, a self-starter and extremely well organised. Fluent business English will be needed. Examples of work may be requested as part of the application process.

Desirable: Experience of:

    • Working within a global financial services or asset management company ideally including matrix management
    • Using remote board packs and company filing databases
    • experience of involvement with a subsidiary of a listed company

Working Relationships:

External: Non-executive directors, external legal counsel

Internal: Board and committee members particularly Luxembourg Conducting Officers to the Management Company, Legal, Compliance, Finance, General Counsel's Office administrative support

 

General Company Secretarial support for Continental European and Asia Pacific legal entities as well as international branches of group companies. Providing support to non-corporate governance committees where relevant.

Role Responsibilities:

The role will provide support to international companies currently comprising three Luxembourg domiciled companies, one Swiss company, one Dubai company and eight Asian companies. Primarily this support requires the candidate to:

  • prepare agendas and assemble and distribute Board, Committee and Shareholder packs (in paper and/or electronic format)
  • attend and take minutes of Board meetings, shareholder meetings and other committees often via telephone
  • make action lists and follow up including execution of documents according to local practice
  • attend and contribute to pre-meetings in advance of Board meetings where relevant
  • support relevant lawyer in ensuring compliance with statutory and regulatory requirements, with the articles of incorporation and ensure good corporate governance practices are followed
  • arrange relevant local filings, maintain local statutory records as necessary and check lists of filing requirements in multiple jurisdictions and liaise with external company secretaries as needed
  • liaise with suppliers to arrange general meetings for funds
  • keep corporate filings for branch entities in various countries up to date

Additionally the role will support the organisations general legal and regulatory compliance functions as required, for example:

  • Maintain various corporate governance charts, guides, policies and terms of reference
  • Provide general assistance on group wide projects as and when needed
