This is a very exciting opportunity for a mid-senior level lawyer, circa 8-12 PQE, who is looking for a step up into a challenging and international environment, working very closely with board and reporting directly to the CFO in London. In-house experience in a similar, heavy industry is preferable, but not a pre-requisite.
Key Skills and Qualifications include:
- Qualified Solicitor in England & Wales
- Significant experience in an international corporate head office legal environment
- Broad knowledge of corporate law and particularly ABC & compliance essential
- Energetic, motivated and confident manner - able to communicate effectively at all levels
- Flexible and pragmatic - able to respond rapidly to a wide range of challenges and demands in a small and very dynamic head office team
- Comfortable working in a diverse team environment both within head office and across a decentralised Group, while still taking responsibility for achieving results
Primary responsibilities include:
- Implementation and monitoring of robust ABC and data protection policies and processes
- Management and approval of all significant commercial contracts and other agreements
- Oversight & management of all significant litigation, threats or regulatory enquiries
- Establishing & monitoring appropriate commercial risk management protocols governing contracts and terms of trade in conjunction with business unit teams
- Provide ad hoc counsel on all legal matters (may include employment related issues, insurance claims, banking documents, joint venture agreements, shareholder matters etc)
- Developing & communicating appropriate policies, controls and procedures to establish and promote a robust legal risk management framework, and policing compliance
- Mentoring & oversight of business unit legal support or resources as appropriate
- Maintaining a comprehensive library of contracts & other important legal documents
- Provide legal support and leadership on inbound & outbound M&A activities
- Overall responsibility for corporate governance matters including company secretarial
- Coordination & monitoring of all external legal relationships and appointments
