Sole Counsel

The Company:

Hudson are partnering a non-profit making organisation set up to enable franchisees to gain from the financial and service discounts that come from purchasing and supplying product in large volumes.

Role Summary:

The Sole Counsel will support the business by taking the lead on all legal matters, ensuring that the business remains compliant with all legal requirements and that contracts are commercially sound. The role will also oversee the Enterprise Risk Management program.

Key Responsibilities:

• Support the business with all legal questions/issues
• Take ownership of complex legal issues that arise
• Adopt a commercially focused approach to advice
• Oversee the drawing up of all procurement contracts
• Review all contracts between the company its own suppliers
• Ensure that contracts are commercially sound and compliant.
• Responsible for the robust and efficient running of annual Board elections
• Responsible for the robust and efficient running of market membership votes
• Responsible for non-financial requirements of Companies House
• Ensure that the requirements of the Articles of Association are met
• Ensure that all T&C's are kept up to date and communicated to the Franchisee
• Ensuring that the business is meeting its Legal requirements
• Work with business to identify all risks and ensure that we have appropriate mitigating strategies
• Own relationship with and limit reliance on external counsel

Qualifications, skills and knowledge:

• 5 Years PQE
• Ability to constructively challenge the wider business
• Excellent stakeholder management and communication skills at all levels
• Experience of international and cross-cultural working desirable
• Experience working in a service-oriented organization desirable
• Able to work under own imitative whilst working collaboratively with HoF and key stakeholders
• Commercial acumen
• Able to present complex information in a clear and concise way
