Duties/Responsibilities
- Board and committee support
- Governance oversight and advice
- Maintenance of statutory records and filings
- Responsible for the company secretarial functions relating to management committees and certain boards by ensuring effective preparation for, administration of, and follow-up of all meetings
- Provide advice on corporate governance and regulatory matters to group directors and officers
- Establish and align procedures and policies to conform to UK, European and other relevant regulatory changes affecting corporate governance
- Liaise with corporate support areas to address queries from accounting, internal control, internal and external audit, regulators, and compliance staff.
Knowledge/Experience/Skills
- Company Secretary with a minimum of 3 years' experience
- Experience in a regulated environment, preferably in the securities and banking industries and familiar with applicable legislation and regulation
- Excellent communication, written and oral skills, with experience communicating with a range of internal and external stakeholders
- Highly organised, able to prioritise and manage multiple tasks
- Experience of providing pension scheme secretarial services will be desirable but not a pre-requisite.
Qualifications
- Institute of Chartered Secretaries and Administrators (ICSA) qualified or corporate governance experience
- Comprehensive computer skills, preferably with experience using online legal/corporate secretarial entity management systems for example Diligent™, Secretariat™ or GEMS; able to adapt and apply new technologies.
Salary for the role: £55,000 - £60,000
