Duties/Responsibilities

  • Board and committee support
  • Governance oversight and advice
  • Maintenance of statutory records and filings
  • Responsible for the company secretarial functions relating to management committees and certain boards by ensuring effective preparation for, administration of, and follow-up of all meetings
  • Provide advice on corporate governance and regulatory matters to group directors and officers
  • Establish and align procedures and policies to conform to UK, European and other relevant regulatory changes affecting corporate governance
  • Liaise with corporate support areas to address queries from accounting, internal control, internal and external audit, regulators, and compliance staff.

Knowledge/Experience/Skills

  • Company Secretary with a minimum of 3 years' experience
  • Experience in a regulated environment, preferably in the securities and banking industries and familiar with applicable legislation and regulation
  • Excellent communication, written and oral skills, with experience communicating with a range of internal and external stakeholders
  • Highly organised, able to prioritise and manage multiple tasks
  • Experience of providing pension scheme secretarial services will be desirable but not a pre-requisite.

Qualifications

  • Institute of Chartered Secretaries and Administrators (ICSA) qualified or corporate governance experience
  • Comprehensive computer skills, preferably with experience using online legal/corporate secretarial entity management systems for example Diligent™, Secretariat™ or GEMS; able to adapt and apply new technologies.

Salary for the role: £55,000 - £60,000
