Corporate Transactional Lawyers, Edinburgh

  • Circa 4-6 years PQE- Senior Legal Adviser

Senior Legal Adviser, 4 to 6 years PQE, Edinburgh

Due to significant growth in the volume of M & A transactions being undertaken by our team, we are looking to employ a solicitor to undertake corporate transactional work. The role will be based in Edinburgh.

This is an excellent opportunity for a corporate lawyer who is looking for significant client contact and to broaden both their exposure to, and responsibilities for, delivering high quality but pragmatic commercial advice to a broad range of clients (in particular entrepreneurs, SMEs, owner managed businesses and private equity houses).

We would expect the successful candidate to be involved in:

  • Drafting and negotiating share purchase and business purchase agreements (sell side, buy side and reorganisations);
  • Drafting and negotiating investment agreements, shareholders’ agreements, complex articles of association, option schemes and other equity investment documentation;
  • Contributing to, and in some instances coordinating, complex due diligence reviews and disclosure processes;
  • Liaising with specialist teams such as IP/IT, employment and real estate in respect of those aspects of transactions;
  • Coordinating the transaction process, including arranging and conducting completions meetings;
  • Providing general corporate counsel to clients on an ad hoc basis, including in relation to board and shareholder meetings, communication with stakeholders and restrictions on corporate actions; and
  • Advising upon, drafting and negotiating commercial contracts from time to time (such as NDAs, supplier or customer Ts & Cs, licence agreements);
  • We are open to applications from both those from a private practice background looking for a new challenge and those with an in-house background, which includes relevant transactional experience.

You should:

  • Be a solicitor with a current practising certificate, qualified in Scots or English law;
  • Have at least 4 years’ relevant experience in a general corporate or corporate transactional team (be that with a reputable national or international firm or in-house transactional department);
  • Have ambition to develop in corporate transactional work; and
  • Have a “can do” attitude and desire to help us continue to grow our practice across the UK.

Legal Adviser, NQ-3 years PQE, Edinburgh

We are also looking to employ a solicitor who is enthusiastic and keen to develop a career in corporate transactional work. The role will be based in Edinburgh.

This is an excellent opportunity for a lawyer who is seeking significant client contact, under senior and experienced guidance, and to broaden both their exposure to, and responsibilities for, delivering high quality but pragmatic commercial advice to a broad range of clients (in particular entrepreneurs, SMEs, owner managed businesses and private equity houses).

The role will be a very generalist corporate role and we would expect the successful candidate, in a manner consistent with their level of seniority, to be involved in:

  • Drafting and negotiating share purchase and business purchase agreements (sell side, buy side and reorganisations);
    Drafting and negotiating investment agreements, shareholders’ agreements, complex articles of association, option schemes and other equity investment documentation;
  • Coordinating data room establishment and operation;
  • Contributing to, and in some instances coordinating, complex due diligence reviews and disclosure processes;
  • Liaising with specialist teams such as IP/IT, employment and real estate in respect of those aspects of transactions;
  • Coordinating the transaction process including arranging and conducting completion meetings;
  • Providing general corporate counsel to clients on an ad hoc basis, including in relation to board and shareholder meetings, communication with stakeholders and restrictions on corporate actions; and
  • Advising upon, drafting and negotiating commercial contracts from time to time (such as NDAs, supplier or customer Ts & Cs, licence agreements);
