Our client is a leading trading investment firm with stakes in a collection of the Worlds best-known companies and assets. They have a newly created opportunity to recruit an Assistant Company Secretary to provide support to the Legal Team and Board of Directors including its subsidiaries located across the globe.


The Role
You will work with a team of international lawyers providing support on corporate governance issues, M&A and other business related activities. Your main focus is drafting board and shareholder resolutions for standard corporate matters and company subsidiaries. You will report directly to the Global General Counsel where You will manage and maintain a portfolio of investment clients and act as Corporate Secretary to business subsidiaries. You will be required to attend meetings with new and existing clients. You will work with external providers in many jurisdictions to ensure the on-going compliance by the company and its entities with corporate secretarial requirements such as the approval and filing of statutory accounts and holding of annual general meetings, and monitoring the performance and fees of external providers.

Candidates
Ideally candidates will be INCAS qualified with at least 5 year's experience, preferably gained within Investment Banking or from a reputable trading firm. Candidates who are part INCAS qualified may also be considered if they have strong academics and a Law degree (minimum 2) from a world renowned University. You must have the ability to organise and prioritise work and be able to work efficiently under pressure and to strict deadlines. Must have thorough experience of drafting board and shareholder resolutions with knowledge of basic company secretarial compliance matters such as the maintenance of company registers and share certificates.
