Job Requirements

Working in the role of Associate Legal Counsel supporting the Regional Divisional Counsel with the commercial caseload and the global implementation of the GDPR compliance program roll-out reporting to line management in the UK. The Junior Legal Counsel will be involved in the drafting of customer commercial contracts, tenders of applicable orders, bid response, customer customer negotiations, as determined by the Regional Divisional Counsel and will support compliance in the global privacy programme by coordinating with divisional Project Manager and Global Privacy Officer and senior executive stakeholders within the Division. Knowing how to persuade and enable the business, while maintaining integrity, the Associate Legal Counsel closely collaborates with business stakeholders to control risk from potential procedural or technology changes that affect privacy. Assume responsibility for negotiating data protection agreements as applicable to the organisation and as designated by line management. The Associate Legal Counsel may be nominated to be a divisional Data Privacy Officer. The Associate Legal Counsel shall enable data privacy for compliance within the Division on a day to day basis for all matters related to data protection, with the support of line management.

Specific Role Requirements 

  • Able to advise the business on commercial contract supply agreements, sales of software/services, including provision /purchase of cloud base solutions;
  • Ensure the organisation’s legal interests (ownership/protection of IP, licencing, limitation of liability), are best protected in customer, supplier and or third-party contracts;
  • Provide general legal advice, and prepare and negotiate various types of legal agreements on behalf of the business as required;
  • Keep abreast of legal developments affecting the organisation;
  • Support the data mapping exercise to be carried out across the organisation for the purposes of the GDPR.
  • Implement the work required to bring the business up to standard required by the GDPR identified through gap analysis.
  • Carry out regular risk assessments of the handling of data and maintain & update the privacy risk register with documented mitigation.
  • Provide pragmatic, quality and timely ad hoc advice to all areas of the organization to ensure all new initiatives comply with the DPA, GDPR and future legislation as that arises.

Education Requirements

The Successful Applicant requires:

  • Qualification as a solicitor who has legal and/or professional qualifications specialising in commercial law/ data protection and/or compliance.
  • Ability to work in a fast-paced environment, manage multiple tasks effectively and meet deadlines.
  • Proven experience of providing legal advice on commercial contracts, intellectual property and data protection, including the provision of legal advice in relation to all aspects of EU data protection laws to the business and via support of the Legal team to ensure holistic specialised advice is provided to the business and avoid multiple contact points where appropriate including advising on:
    • Customer facing data protection issues, data protection queries and the terms of the customer consent and other data protection aspects in customer agreements;
    • Data protection aspects and clauses of supplier and partnership agreements;
    • Subject Access Requests from customers;
    • Event resolution and handling of breach notifications;
    • Data Protection legal and regulatory developments; and
    • Associated related data protection issues.
  • Detailed knowledge/experience of the EU e-Privacy Directive and the EU General Data Protection Regulation (GDPR), EU Model Clauses, US-EU Privacy Shield, and/or Binding Corporate Rules for international data transfers

It would prove advantageous if the Successful Applicant had:

  • A willingness to learn and understand applicable US export control laws, international privacy laws as they relate to the business and industry best practices
  • Experience of providing compliance advice and operational compliance matters
  • Business proficiency in a foreign language
