The Role: Corporate Paralegal

Contract: Permanent

Salary: £40-48K per annum

Practise Group: General Corporate/ Capital Markets

Role Overview:

Whilst being under the supervision of an attorney, the corporate paralegal is responsible for assisting lawyers in all stages of corporate transactions and with the preparation of documents necessary to comply with all regulations in the conduct of business activities.

Responsibilities include, but are not limited to:

  • Provide paralegal support to partners, associates, and other professional staff across corporate department.
  • Conduct factual research, analyse documents and prepare detailed corporate profiles.
  • Perform legal and non-legal or factual research using a variety of legal research tools for case law, legislation, commentary, company and business information and practical guidance.
  • Prepare the Companies House forms and carry out requisite Companies House filings for UK incorporated entities.
  • Assist with the formation & dissolution of corporate entities.
  • Assist with Private Placements/Public Offerings.
  • Assist with preparing condition precedent.
  • Assist in preparation of documents and proofread same for sense, consistency, cross references, definitions, formatting and typographical errors.
  • Provide support with regard to physical and virtual data rooms, including data room supervision.
  • Assist with due diligence: review and analysis of documents and assist with drafting of due diligence reports and contract summaries.
  • Provide company secretarial support including, Companies House searches, draft board minutes and written resolutions of directors and shareholders, prepare statutory declarations.
  • Assist with UKLA/SEC filings: updating prospectuses, financials, verification exercises, annotation of prospectuses and update UKLA checklists.
  • Co-ordinate proofs and distribution at the financial printers.
  • Assist at signing and completion meetings and co-ordinate closing documents; prepare conditions precedents and arrange the closing racks.
  • Organise and update precedent and transaction bibles/sets and create electronic bible.
  • Collate and organise closing sets.
  • Liaise with outside agencies as (organise notaries and service of process work).
  • Seek to improve work flow and assist, create and maintain department files.

Skills Required:

  • 2:1 in Law Degree
  • LPC
  • Corporate transactional experience
  • Ability to work overtime and to travel as required
  • Flexibility to adjust hours to meet operating needs
  • Legal billing experience and knowledge of Intapp Time (DTE) desirable
