Description

The responsibilities for the In House Solicitor role to be based in Manchester will include

Providing practical and hands-on advice on general commercial activities, including issues in respect of IP, IT, Data Protection, consumer protection, tax, insurance and banking, if/as they arise.

* Preparing and developing commercial contracts and technical legal documentation including NDAs, guarantee agreements, shared services and IT, commercial licences and business delivery agreements

* Supporting corporate transactional activities, including negotiation of asset and company sale and purchase agreements, banking/finance/debt support, potential official listing activities and related transactional documentation

* Advising on commercial disputes or breaches of contract on behalf of the businesses, managing external counsel as appropriate

* Leading and influencing negotiations relating to commercial and business law, whilst making sound decisions

* Management of external counsel and working with non-legal staff at all levels of the business

* Ensuring early warning of contractual or business risks and advising on suitable mitigation and control

* Keeping up to date with legal developments and advising the management team on compliance and risk factors

* Contributing to the group's business delivery and promote the group vision, and its strategic aims and objectives

  • * Identifying, assessing and managing commercial risk/change with resolve, sensitivity and maturity
  • * As part of a team ensuring that the Board and all levels of the organization are given the advice and information necessary to perform their duties
  • * Professionally representing the group to external clients, investors and stakeholders

Profile

* Degree (or equivalent)

* UK qualified solicitor, ideally with 3 or more years of post-qualification experience

* Broad working knowledge and experience of general commercial practice and corporate transactions, having undertaken hands-on commercial and corporate contract work in private practice or in industry

* Conversant and up-to-date with material aspects of commercial contracting, with the ability to absorb and articulate complex information confidently, clearly and concisely

* Experience of taking sound commercial business decisions, in the context of legal risk, ideally in an in-house or entrepreneurial environment

* Strong problem solving, negotiation, influencing and persuasion skills

* Excellent planning, organisational and time management skills, including the ability to multi-task and deliver to deadlines on time, is essential

* Ability to remain calm under pressure and be pro-active and self-motivated

* Co-operative and supportive team player

* Proficient in the use of MS Office applications
