A global technology organisation leading in electrical, aerospace, hydraulics, filtration and vehicle manufacturing is looking for an experienced legal counsel to join them in-house on a full-time, 12-month fixed term contract. Based at the HQ in the West Midlands, your new role will focus on commercial contracts and procurement matters.
Responsibilities of your new role
Your primary duties as Legal Counsel will include:
- Drafting and negotiating commercial contracts and agreements within delegated approval and corporate governance structure;
- Proactively managing existing agreements and enforce contract terms;
- Performing independent analysis of business/contract issues to support decision making contract functions of complex systems, subsystems, and components that may impact multiple plants;
- Adopting process improvements within the organization, recommending changes to procedures to improve management of risks and liabilities;
- Facilitating internal review of agreements and supporting the commercial execution of contracts;
- Maintaining positive interactions with customers, proactively ensuring contractual compliance and performance;
- Ensuring compliance with all Contract function, Aerospace, Division, business unit processes and procedures, UCC, Federal Acquisition Regulations, Defense Federal Acquisition, export and local law as applicable; and
- Assuring timely purchase order review and resolving potential conflict.
Other duties of the in house counsel will include:
- Providing leadership and guidance as requested to the EMEA Divisional Contracts and Customer Service Manager, on contract subject matters;
- Participating in governance reviews, reviewing customer proposals for new business;
- Supporting review of projects status;
- Conducting negotiations of agreements & contracts within delegated authority;
- Managing contract change management process;
- Managing and mitigating actual/potential customer claims and disputes;
- Supporting wider division through negotiation of contracts & agreements;
- Facilitating initial customer order/contract review to ensure the contract reflects commitments to the customer, and covers subject matter as proposed and negotiated;
- Maintaining custody of all contractual documents to protect the company legally and maintain ISO9000 and AS9100 requirements;
- Business partnering with Sales and Program Management in new opportunities; and
- Managing contractual and commercial risk to identify financial risk to the business.
Candidate requirements
The successful Legal Counsel will demonstrate:
- Previously worked as In-House legal Counsel / Contracts manager;
- 7-10 years Contacts experience of complex systems with good knowledge of applicable law and contract terms;
- Commercial acumen and financial awareness;
- Business governance skills;
- Negotiating skills;
- Knowledge of Export Compliance, the FAR and DFAR;
- Strong communication skills (Verbal and Written);
- Customer focused (balanced with good business acumen); and
- Proactive, action oriented and ability to work in time sensitive environment
