My client is a leading international insurance group, looking to hire a Company Secretarial Assistant into their London office on a permanent basis.
The role will be to:
- Assist in the arranging of board and committee meetings including board paper production and following up on board action points
- In time to attend and minute non-regulated subsidiary board or committee meetings
- Maintenance of Divisional statutory books to ensure timely and accurate filings including tracking and diligent filing of meeting minutes
- Liaise with and manage Divisional overseas entities in regard to their statutory records, filing and regulatory requirements
- Assist in the management of Group and Divisional subsidiary share transactions including drafting and issue of documentation to shareholders, transfer and allotment of shares and share-elated reconciliations
- Assist in production of Divisional-level management information
- Assist in Divisional-level corporate governance
- Assist in Divisional-level directors’ interests and conflicts reporting
- Assist in maintenance and oversight of the Group’s UK Data Protection notifications and associated GDPR procedures, along with those of other relevant regulatory authorisations
- Assist in the review, maintenance and development of the Company Secretariat intranet and extranet sites including the Shareholder Portal and all Corporate Governance content
- Update and management of Group corporate structure charts and process maps
- Assist in the implementation and maintenance of an up to date, structured Company Secretariat filing and archiving system
- Assist in M&A activity, Group-wide projects and ad hoc matters
A strong candidate will have experience in the financial services or insurance sector and will have 2-3+ years experience in a company secretarial assistant role. They will desirably have ICSA Software Blueprint experience (or equivalent) and have Dilligent BoardBooks experience (or equivalent). It is also desirable for the candidate to have the ICSA qualification or be the majority of the way through completing the qualification.
